The corporation shall be a corporation not-for-profit pursuant to chapter 617 florida statutes, formed and operated exclusively for the promotion of social welfare. The purpose of the corporation shall be to further the common good and general welfare of the people of florida by promoting civic awareness and public discourse of progressive policy and organizations in miami-dade and south florida. The corporation may engage only in activities that may be carried out by a corporation exempt from federal income taxes under section 501(c)(4) of the internal revenue code or the corresponding section of any future tax code. No part of the net earnings of the corporation shall inure to the benefit of any member, except that the corporation may pay reasonable compensation for services rendered and may make payments or distributions in furtherance of the purposes set forth herein.
