Acceptance of Terms
By accessing or using the RoundPaper platform, including by creating an account or clicking "I agree," you agree to be bound by these Terms of Service and our Privacy Policy, which is incorporated by reference. If you do not agree to these terms, you may not use the platform. These terms apply to all users, including visitors, registered users, and subscribers.
Eligibility
You must be at least 18 years old to create an account or use the platform. By using RoundPaper, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these terms. If you are using the platform on behalf of an organization, you represent that you have the authority to bind that organization to these terms.
Description of Service
RoundPaper is a data intelligence platform for the nonprofit sector. The platform provides access to IRS Form 990 filing data, AI-powered data queries through Data Chat, organizational profiles, sector benchmarking, compensation analysis, pre-built research insights, and downloadable reports. All nonprofit data on the platform is derived from publicly available IRS filings. AI-generated responses are produced by querying this data based on your natural language questions.
Accounts & Access
Some features of the platform require you to create an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to provide accurate and complete information when registering and to keep your account information up to date. You must notify us immediately if you become aware of any unauthorized use of your account. We reserve the right to suspend or terminate accounts that violate these terms or that we reasonably believe are being used in an unauthorized manner.
Acceptable Use
You agree not to: • Scrape, crawl, or use automated tools to bulk-extract data from the platform without written permission. • Misrepresent AI-generated results or platform data as original research, legal advice, financial advice, or official government data. • Attempt to gain unauthorized access to any part of the platform, other users' accounts, or our systems. • Use the platform to harass, defame, or harm individuals or organizations. • Resell, redistribute, or sublicense platform access or data without authorization. • Interfere with or disrupt the platform's infrastructure or performance. • Use the platform in violation of any applicable law or regulation.
AI-Powered Features & Data Chat
The platform includes AI-powered features such as Data Chat that generate responses by querying IRS Form 990 data based on your natural language questions. You acknowledge and agree that: • AI-generated responses are informational only and should not be treated as legal, financial, tax, or professional advice. • AI outputs may be inaccurate, incomplete, or inconsistent. The same question may produce different results at different times due to the non-deterministic nature of AI systems. • You are responsible for independently verifying any AI-generated data or analysis before relying on it for decision-making. • We do not use your individual queries, conversations, or inputs to train AI models. Anonymized, aggregated usage patterns may be used to improve platform performance. • AI-generated outputs do not constitute official government data, and you may not represent them as such.
Data & Content
The nonprofit data available on this platform is sourced from IRS Form 990 filings, which are public records. While we take care to process this data accurately, we do not guarantee that all data is complete, current, or error-free. Organizations may file amendments, corrections, or late returns that are not yet reflected on the platform. There is typically a 6–18 month lag between the end of a fiscal year and when that filing data appears on the platform. Always verify critical data points against original IRS filings or consult a qualified professional for decisions that require expert guidance.
Intellectual Property
The RoundPaper platform, including its design, features, code, branding, insights content, and analytical tools, is the intellectual property of RoundPaper. You may not copy, modify, or distribute any part of the platform without our written consent. The underlying IRS 990 data is in the public domain. Your individual queries, saved reports, and account data remain yours. We do not claim ownership of your inputs or outputs generated through your use of the platform. By using the platform, you grant RoundPaper a limited license to process, display, and store your inputs and data as necessary to provide the service.
Payment & Credits
Certain features of the platform are available through paid subscriptions or credit-based usage. Payments are processed securely through Stripe, our third-party payment provider. By subscribing to a paid plan, you agree to pay the applicable fees and any applicable taxes. Paid subscriptions renew automatically at the end of each billing period unless you cancel before the renewal date. You may cancel your subscription at any time through your account settings. Credits are consumed when you use premium features such as Data Chat queries and report generation. Unused credits do not roll over between billing periods unless otherwise stated in your plan. We reserve the right to change our pricing with reasonable notice. Refunds are handled on a case-by-case basis — contact us if you believe a charge was made in error.
Termination
You may close your account at any time through your account settings or by contacting us. We may suspend or terminate your access to the platform at any time if you violate these terms, if we are required to do so by law, or if we discontinue the platform. Upon termination, your right to use the platform ceases immediately. We may retain your data for a reasonable period as required by law or legitimate business purposes. If you have an active paid subscription at the time of termination, no refund will be issued for the current billing period unless termination was due to our breach of these terms.
Third-Party Services
The platform integrates with and relies on third-party services, including Stripe for payment processing. Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the availability, accuracy, or practices of any third-party services. The platform may contain links to third-party websites or resources. We do not endorse and are not responsible for the content, products, or services available from these external sources.
Disclaimers
The platform and its content are provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the platform will be uninterrupted, error-free, or free of harmful components. We do not warrant the accuracy, completeness, or reliability of any data, AI-generated content, or analysis provided through the platform. The platform may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.
Limitation of Liability
To the fullest extent permitted by applicable law, RoundPaper and its officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform, including but not limited to loss of profits, data, or business opportunities, even if we have been advised of the possibility of such damages. Our total liability for any claim arising from your use of the platform shall not exceed the amount you paid to us in the twelve months preceding the claim.
Indemnification
You agree to indemnify, defend, and hold harmless RoundPaper and its officers, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the platform, your violation of these terms, or your violation of any rights of a third party.
Dispute Resolution
Any dispute arising out of or relating to these terms or your use of the platform shall first be resolved through good-faith negotiation. If we are unable to resolve a dispute informally, you agree that the dispute shall be resolved through binding arbitration administered in accordance with the rules of the American Arbitration Association, rather than in court. You agree that any arbitration or legal proceeding shall be conducted on an individual basis and not as part of a class, consolidated, or representative action. This agreement to arbitrate shall survive termination of your account or these terms.
Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the federal or state courts located in Delaware.
Feedback & Suggestions
If you provide us with feedback, ideas, or suggestions regarding the platform, you grant RoundPaper a perpetual, irrevocable, royalty-free license to use, modify, and incorporate that feedback for any purpose without obligation or compensation to you.
General Provisions
• Entire Agreement. These terms, together with our Privacy Policy, constitute the entire agreement between you and RoundPaper regarding your use of the platform. • Severability. If any provision of these terms is found to be unenforceable, the remaining provisions shall continue in full force and effect. • Waiver. Our failure to enforce any provision of these terms shall not constitute a waiver of that provision or any other provision. • Assignment. You may not assign or transfer your rights under these terms without our written consent. We may assign our rights and obligations without restriction, including in connection with a merger, acquisition, or sale of assets. • Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, cyberattacks, government actions, or service provider outages. • Electronic Communications. By using the platform, you consent to receiving electronic communications from us, including emails and platform notifications. You agree that these electronic communications satisfy any legal requirement for written communication.
Changes to These Terms
We may update these Terms of Service from time to time. If we make material changes, we will notify you by email or through a notice on the platform at least 30 days before the changes take effect. Your continued use of the platform after changes take effect constitutes your acceptance of the updated terms. We encourage you to review these terms periodically.
